These Terms of Service ("Terms") govern use of the Tivda platform (tivda.lk and related applications) operated by JINADARI (PVT) LTD (Company No. PV00297698, "we", "our", "us"). By requesting a demo, creating an account, or using the service, you agree to these Terms.

1. What Tivda is
Tivda is a WhatsApp / chat-commerce automation SaaS for businesses. It helps shops answer customers, confirm sizes and details, and capture orders over messaging. Access is typically arranged by request or demo; subscription terms are confirmed when you start.
2. Your account and responsibilities
- You must provide accurate business information and keep login credentials secure.
- You are responsible for the accuracy of catalogue, prices, stock levels and policies you give the bot.
- Your customers' orders remain your responsibility. Tivda assists with conversation and order capture — it is not a payment processor and does not hold customer funds. Humans on your team should confirm money and order commitments before fulfilment.
- You must comply with applicable laws, Meta's WhatsApp Business Platform terms, and Sri Lanka's PDPA.
3. How the bot works
The bot assists buying conversations using your catalogue and settings. Because AI and real customers are unpredictable, replies may occasionally be wrong. Escalation to your team is part of the design — you stay responsible for honouring or correcting commitments made in chat.
4. Fees and billing
Subscription is arranged via request or demo. Fees and plans are confirmed with you before charging. We may change prices with reasonable notice. Late or failed payments may pause the service. Third-party costs (such as WhatsApp message fees from Meta) are separate and may be passed through as notified.
5. Your content and our IP
You keep ownership of your catalogue, product images and customer relationships. You grant us a limited licence to process that content to run and improve your Tivda service. The Tivda platform, software and systems remain our property.
6. Acceptable use
You may not use Tivda to spam, deceive customers, sell illegal goods or services, or violate Meta's policies or Sri Lankan law. We may suspend accounts that breach these rules, with notice wherever possible.
7. Service availability
We provide the service on a best-effort basis. We do not guarantee uninterrupted or error-free availability. Planned maintenance and third-party outages (including WhatsApp / Meta) may affect uptime.
8. Privacy
Our Privacy Policy explains how personal data is handled. It forms part of these Terms.
9. Liability
To the maximum extent permitted by law, our total liability under these Terms is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including lost sales. The bot assists; you remain responsible for orders, payments, refunds and customer complaints.
10. Termination
You may cancel as agreed in your subscription arrangement. We may terminate for material breach with notice. On termination, your data may be exported on request and deleted after a reasonable wind-down period.
11. Governing law
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Disputes are subject to the courts of Sri Lanka.
